The entity you register decides your tax treatment, audit obligations and personal liability for as long as the business exists — changing it later means re-registering, re-filing and often re-negotiating existing contracts. We work out which structure fits before any form is filed, then handle the registration, licensing and permit filings that follow.
An LLP suits a services business that wants lower compliance overhead and no mandatory statutory audit below prescribed turnover and contribution thresholds. A Private Limited company costs more to run — mandatory audit, ROC filings, board resolutions for routine decisions — but is usually what investors and larger corporate clients expect to contract with. Registering as a sole proprietorship because it’s fastest, then needing to convert to a Pvt Ltd a year later for a funding round, means redoing PAN, GST, bank mandates and every existing contract under the new entity.
What usually goes wrong
Registrations get done in isolation and then don’t line up — a GST registration filed before Udyam, or a trade licence applied for at an address that doesn’t match the one on the incorporation certificate. Professional Tax registration in particular gets missed because it isn’t bundled with GST or Udyam anywhere, and the penalty for late registration accrues silently until a state inspection surfaces it.
